CLIQ advises Werkstack on acquisition of software business

The Transaction

CLIQ advised Werkstack GmbH on the acquisition of the business operations of Polscheit – Solutions & IT-Consulting.

As part of the asset deal, Werkstack acquired six software products distributed through the Atlassian Marketplace, together with the IP rights, source codes, marketplace listings and other operating assets required for their continued operation.

Our Role

CLIQ advised Werkstack on the legal structuring, negotiation and execution of the transaction.

Key aspects included defining the scope of the transferred assets, the transfer of software, IP and platform assets, the structuring of seller financing and variable consideration, the allocation of liabilities and the operational transition following closing.
